The MIDCAP Advantage

  • to your business needs and often provide a lot of free advice. We are available at all times to speak and consult with you.

  • we let you know what we think is the best outcome for you and your business, whether or not it leads to the completion of a transaction. We don’t force a transaction if it doesn’t make sense. On the other hand, we will let you know when an offer is really good for your business. We know how sensitive your business’s non-public information and intellectual property is and we keep your plans and information confidential until we have your consent.

  • we speak honestly. We give you clear, plain-spoken advice. We convey views of both sides of the deal truthfully. We provide a lot of guidance.

  • we conduct excruciatingly thorough research to find appropriate business partners or investors for your business. We don’t stop at obstacles. If your "transaction proposition" message isn’t working in the marketplace, we help you adjust it. We work around so-called “deal-breakers” and find positive ways forward. We admit - we work 24/7. We remain proactive until the assignment is completed successfully.

  • we employ the latest thinking and techniques. We are strong believers in using tools and techniques such as the Lean Canvas, disruptive innovation, creative marketing, tech enabled solutions, video conferencing and webapps. See our Business Resources.

  • we have developed strong expertise over 40 years of working with all types of businesses, situations, investors and lenders throughout the world.

Software, tech-enabled business services, financial services, health care products and services, education, marketing services, industrial contracting, manufacturing and distribution, telecommunications, media distribution, retail, importing, biotechnology, food, gaming, motion pictures, transportation, automotive, infrastructure, softgoods, CRM, publishing, renewables, grocery, and hardgoods.

We have solid relationships with financial and strategic buyers including private equity firms and accredited investors and with financial sources such as banks, factors, asset-based lenders, bonding agents, insurance agents, liquidators, accountants and lawyers. In many industries we have relationships with business owners of major firms, making joint venture opportunities and strategic mergers or acquisitions that much easier.

We have successfully completed mergers, sales, acquisitions, joint ventures; Recapitalized bank financing, secured bank loans, lines of credit and subordinated debt; Recommended and structured options, warrants, earn-outs, recapitalizations, and turnarounds, provided corporate development, business valuations, deal structures, term sheets and CFO services.

  • for all the reasons above, we are successful at what we do. We get deals done. And moreover we make sure that our incentives are aligned with your goals. We primarily get compensated for our services by closing a transaction. Occasionally it turns out that it is best not to move forward and complete a transaction. We take that risk. Most often, we get deals done and it is a win-win for all sides.
